Terms of Service

Welcome to MAGNAT3. These Terms of Service (the “Terms”) are a binding agreement between you and Magnate App LLC (“MAGNAT3,” “we,” “us,” or “our”), the company that operates the MAGNAT3 platform, including the website at magnat3.app and our related web and mobile applications (together, the “Platform”). By creating an account, or by accessing or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

1. What MAGNAT3 Is

MAGNAT3 is a marketplace that connects customers (“Customers”) with independent service providers, entrepreneurs, and businesses (“Providers”). Providers list their services, availability, and pricing; Customers discover Providers, book services, and pay through the Platform. MAGNAT3 is a venue and technology provider. Except where we expressly state otherwise, we are not a party to any agreement between a Customer and a Provider, and we do not ourselves provide the underlying services.

2. Definitions

“Account” means the account you create to use the Platform.

“Content” means any text, images, photographs, listings, reviews, messages, or other material submitted to the Platform.

“Provider” means a User that offers services through the Platform. “Customer” means a User that books or purchases services. “User,” “you,” and “your” mean any user of the Platform.

“Services” means services offered by Providers through the Platform; “Platform Services” means the technology and services MAGNAT3 provides.

3. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract to use the Platform. You agree to provide accurate, current, and complete information when you register and to keep it up to date. You are responsible for safeguarding your login credentials and for all activity under your Account. Notify us immediately at Magnat3@magnat3.app if you suspect unauthorized use.

4. Bookings, Payments, and Fees

Payments on the Platform are processed by our third-party payment processor, Stripe, Inc. By making or receiving payments, you also agree to the Stripe Services Agreement and, for Providers, the Stripe Connected Account Agreement. MAGNAT3 does not store your full payment card or bank account numbers; that information is collected and handled by Stripe.

Customers authorize MAGNAT3 and Stripe to charge their selected payment method for booked Services and any applicable taxes and fees. Providers who receive payments must connect a Stripe account for payouts and are responsible for the accuracy of their payout information and for their own taxes.

MAGNAT3 may charge service, platform, or processing fees, which will be disclosed before you complete a transaction. Refunds, cancellations, and rescheduling are governed by the applicable Provider’s stated policy together with our cancellation policy. MAGNAT3 is not responsible for a Provider’s delivery of, or failure to deliver, Services.

5. Provider Terms

If you use the Platform as a Provider, you represent that you are legally able to offer your Services and that you hold any licenses or permits required. You are solely responsible for your listings, pricing, availability, the quality and legality of your Services, and your interactions with Customers. You agree not to circumvent the Platform in order to avoid fees.

6. Acceptable Use

You agree not to use the Platform to:

  • post or transmit unlawful, defamatory, harassing, obscene, or infringing material;
  • violate the intellectual property, privacy, or other rights of any person;
  • upload viruses or malicious code, or interfere with or disrupt the Platform;
  • attempt to gain unauthorized access to the Platform, other accounts, or our systems, or probe or scan our security;
  • provide false information, impersonate others, or use another person’s payment details without authorization; or
  • use the Platform for any fraudulent or illegal purpose, or in violation of these Terms.

7. Your Content

You retain ownership of the Content you submit. You grant MAGNAT3 a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and distribute your Content as needed to operate, provide, and promote the Platform. You represent that you own or have the necessary rights to the Content you submit and that it does not violate these Terms or any law.

8. Intellectual Property

The Platform—including its software, design, text, graphics, logos, and the MAGNAT3 name and marks—is owned by Magnate App LLC or its licensors and is protected by intellectual property laws. Except for the rights expressly granted to you, we reserve all rights. You may not copy, modify, distribute, or create derivative works from the Platform without our written permission.

9. Third-Party Services

The Platform integrates third-party services (for example, Stripe for payments and Google services for maps and sign-in). Your use of those services may be subject to their own terms and privacy policies, and we are not responsible for them.

10. Disclaimers

The Platform is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Platform will be uninterrupted, secure, or error-free, or that any Provider’s Services will meet your expectations. We do not endorse and are not responsible for the acts, omissions, or Services of any Provider or Customer.

11. Limitation of Liability

To the fullest extent permitted by law, MAGNAT3 and its officers, members, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Platform or any Services, even if advised of the possibility of such damages. To the fullest extent permitted by law, our total liability for any claim arising out of or relating to the Platform will not exceed the greater of the amount you paid to MAGNAT3 in the six (6) months before the claim or one hundred U.S. dollars (US$100). Nothing in these Terms limits any liability that cannot be limited under applicable law.

12. Indemnification

You agree to defend, indemnify, and hold harmless Magnate App LLC and its officers, members, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your Content, your use of the Platform, your Services (if you are a Provider), or your breach of these Terms or of any law or third-party right.

13. Suspension and Termination

We may suspend or terminate your access to the Platform at any time if we reasonably believe you have violated these Terms, created risk or legal exposure for us or others, or engaged in fraud. You may stop using the Platform and close your Account at any time. Provisions that by their nature should survive termination will survive.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Except for disputes that qualify for small-claims court and claims for injunctive relief to protect intellectual property, you and MAGNAT3 agree first to try to resolve any dispute informally by contacting us at Magnat3@magnat3.app. If we cannot resolve a dispute within sixty (60) days, it will be resolved by binding arbitration on an individual basis under the rules of a recognized arbitration provider, seated in New York, and judgment on the award may be entered in any court of competent jurisdiction. You and MAGNAT3 waive the right to a jury trial and agree that claims may be brought only in an individual capacity, and not as a plaintiff or class member in any class or representative action. If this class-action waiver is found unenforceable, the agreement to arbitrate will be void. Courts located in New York will have exclusive jurisdiction over any matter not subject to arbitration.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will post the updated Terms on the Platform and update the “last updated” date above. Your continued use of the Platform after the changes take effect constitutes acceptance of the revised Terms.
